I really dont want to move out of the top 3, but am really weak at RB.

I give: 1.02
I get: 1.05, 2.02, A. Williams, S. Vereen

As much as I like the top 3, I would lean towards the package being offered. You collect an extra pick that you didn't have plus Vereen (and Williams) in a PPR format. And you stay in the top 5. Not a bad spot.

However, if Gurley were to fall to #2, it may be a tougher decision. As it stands now, I would accept and be happy with my haul.

Side note: This trade would give the other owner picks 1 & 2... I know pick 1 is being spent on Gurley... He wants pick 2 so he can go Gurley/Cooper

Make him choose between Gurley and Cooper.
If Cooper falls you may get a better offer. Vereen and Williams don't do much for me but 1.05/2.02 will get you pretty good players on their own

Really mortgage him when on the clock and let other owners in on the bidding. If he wants Cooper bad enough, he'll pay. If not, enjoy your new WR acquisition. you absolutely win in this scenario. Have to see what other offers are out there before just taking his. if you don't mind dropping to 5, then tell him you'd rather have a 2016 1st than a second this year. 1.05, 2016 1st, Vereen, and Williams is a better draw IMO. However, there is probably a better offer amongst other league mates.

Quick Edit: If you take Cooper, you can probably move Julio for an established RB or 1.03+ to still get Gordon/or whoever.

I'd take the 1.05. I have no idea who I prefer after Gurley. There is very little difference in the 2nd and 5th rookie pick for me, so getting the 2.02 makes it an easy choice. Also Vereen is a nice piece.
